Terms of Use and Subscription Agreement

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SPEEDY INVENTORY SOFTWARE. BY ACCESSING OR USING THE SPEEDY INVENTORY SOFTWARE IN ANY MANNER, YOU (“YOU”) AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ANY ORDER FORM OR SERVICE AGREEMENT, THE “AGREEMENT”). IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SPEEDY INVENTORY SOFTWARE.

If you are entering into this Agreement on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity, and “You” will refer to that organization or entity.

1. Definitions

1.1 Speedy Inventory Software
Means the proprietary online software-as-a-service platform and related services provided by Speedy Inventory Software Inc. (“Speedy Inventory”), including any updates, upgrades, and enhancements.

1.2 Subscription
Means Your right to access and use the Speedy Inventory Software during a specified subscription term (e.g., monthly or yearly) as set out in an order form or service agreement (each, a “Service Agreement”).

1.3 Your Data
Means any data, content, or materials that You or Your users submit to or store in the Speedy Inventory Software.

2. Access to the Speedy Inventory Software

2.1 Grant of Access
Subject to Your timely payment of all applicable fees and compliance with this Agreement, Speedy Inventory grants You a limited, non-exclusive, non-transferable right to access and use the Speedy Inventory Software during the applicable subscription term specified in Your Service Agreement.

2.2 User Accounts
You are responsible for maintaining the confidentiality of any usernames and passwords associated with Your account and for all activities that occur under Your account. You are responsible for ensuring that all users accessing the Speedy Inventory Software under Your account comply with this Agreement.

2.3 Multi-Location and Job Credit Use
A single Subscription may be used across multiple locations or branches within Your organization. Access is not restricted by location; instead, Your Subscription is governed by the number of job credits included in Your selected plan. Each job processed through the Speedy Inventory Software consumes one job credit, regardless of the location or number of users involved. You are solely responsible for monitoring Your remaining job credit balance. Speedy Inventory is not responsible for service interruptions resulting from the exhaustion of Your job credits.

2.4 Equipment and Third-Party Services
You are responsible for obtaining and maintaining all equipment, software, and third-party services (e.g., internet access) necessary to access and use the Speedy Inventory Software.

3. Subscription Plans, Fees, and Payment

3.1 Subscription Plans
Speedy Inventory offers subscription-based access to the Speedy Inventory Software on monthly and yearly plans, as described in Your Service Agreement or on Speedy Inventory’s website at the time of purchase.

3.2 Fees
You agree to pay all fees set forth in Your Service Agreement or otherwise displayed at the time of subscription. All fees are due in advance of the applicable subscription term unless otherwise stated in writing.

3.3 Taxes
Fees are exclusive of any applicable taxes (including VAT, sales tax, and similar charges). You are responsible for all such taxes, except for taxes based on Speedy Inventory’s net income.

3.4 Automatic Renewal
Unless otherwise specified in Your Service Agreement, Your monthly Subscription will automatically renew each month and Your yearly Subscription will automatically renew each year, at the then-current applicable rates, unless You cancel in accordance with Section 4 before the end of the current subscription term.

3.5 Payment Processing
All payments are processed by Chargebee, a third-party payment processor. By subscribing, You agree to provide accurate and complete billing information and authorize Chargebee to charge Your payment method for all applicable fees. Speedy Inventory does not store Your credit card or payment information directly. Any disputes regarding charges must be raised with Speedy Inventory support first, prior to initiating any dispute with Your payment provider or bank.

3.6 Price Changes
Speedy Inventory reserves the right to change subscription pricing at any time. For existing subscribers, any price changes will take effect at the start of the next renewal term. Speedy Inventory will provide at least thirty (30) days prior written notice of any price increase via email to the address associated with Your account. Your continued use of the Speedy Inventory Software after the price change takes effect constitutes Your acceptance of the new pricing. If You do not agree to the new pricing, You must cancel Your Subscription before the new pricing takes effect.

4. Cancellation and No Refund Policy

4.1 Cancellation by You
You may cancel Your Subscription at any time by following the cancellation process described in Your account settings or by contacting Speedy Inventory support in writing. Cancellation will be effective at the end of Your current billing period (monthly or yearly, as applicable).

4.2 No Refunds – Monthly and Yearly Plans
ALL FEES PAID FOR MONTHLY AND YEARLY PLANS ARE FINAL AND NON-REFUNDABLE. NO REFUNDS OR CREDITS WILL BE PROVIDED FOR ANY PARTIAL USE OF A SUBSCRIPTION TERM, DOWNGRADE OF PLAN, EARLY CANCELLATION, OR NON-USE OF THE SPEEDY INVENTORY SOFTWARE.

This No Refund Policy applies to:

  • Yearly subscription plans
  • Any automatic renewals of such plans
  • Any one-time setup, onboarding, or professional services fees, unless explicitly stated otherwise in a signed written agreement

4.3 Free Trials
Speedy Inventory may offer free trial periods for certain plans. If You subscribe to a paid plan following a trial, or if Your trial converts automatically to a paid subscription, You acknowledge that it is Your responsibility to evaluate the Speedy Inventory Software during the trial period. Once the paid subscription begins and payment is processed, the No Refund Policy in Section 4.2 applies.

4.4 Acknowledgment of Refund Policy
By initiating a Subscription (including any renewal), You confirm that You have read and understood this No Refund Policy, and You agree that You will not request a chargeback or dispute with Your payment provider on the basis of non-use, dissatisfaction, or early cancellation, except where such rights cannot be waived under applicable law.

5. Acceptable Use and Restrictions

5.1 Acceptable Use
You may use the Speedy Inventory Software solely for Your internal business purposes and in accordance with this Agreement and all applicable laws and regulations.

5.2 Uploaded Content
You are solely responsible for all photos, images, data, and other content that You or Your users upload to the Speedy Inventory Software. You represent and warrant that: (a) You have all necessary rights and permissions to upload such content; (b) the content does not violate any applicable law, regulation, or third-party rights, including privacy rights of individuals photographed; (c) You will not upload any content that is unlawful, harmful, obscene, or otherwise objectionable; and (d) where photos include images of individuals, You have obtained any consents required under applicable privacy or data protection laws. Speedy Inventory is not responsible for any content uploaded by You or Your users and reserves the right to remove content that violates this Agreement.

5.3 Inventory Reports and Photo Access
Photos and images captured through the Speedy Inventory Software may be viewed and downloaded by authorized users through the inventory report feature within the platform, subject to Your active Subscription. Upon termination or expiration of Your Subscription, access to inventory reports and all associated photos will be disabled. Speedy Inventory is not responsible for the loss of photos or images that were not downloaded prior to the end of Your Subscription.

5.4 Eligibility and Age Requirement
The Speedy Inventory Software is intended solely for use by businesses and individuals who are at least eighteen (18) years of age. By accessing or using the Speedy Inventory Software, You represent and warrant that You are at least 18 years old and have the legal capacity to enter into this Agreement. The Speedy Inventory Software is not directed at, and should not be used by, anyone under the age of 18. Speedy Inventory reserves the right to terminate any account that it reasonably believes is held or operated by a person under the age of 18.

5.5 Beta Features
Speedy Inventory may from time to time make available features or functionality designated as “beta,” “preview,” or “early access” (collectively, “Beta Features”). Beta Features are provided as-is and as-available without any warranty, service level commitment, or support obligation. Speedy Inventory may modify, suspend, or discontinue any Beta Feature at any time without notice or liability. Your use of Beta Features is entirely at Your own risk.

5.6 Restrictions
You and Your users shall not, and shall not authorize or enable any third party to:

  • Sublicense, resell, or otherwise provide the Speedy Inventory Software to any third party, except as expressly authorized in writing by Speedy Inventory
  • Use the Speedy Inventory Software to provide services to third parties in a service bureau or similar capacity
  • Bypass, disable, or interfere with usage limits or security-related features of the Speedy Inventory Software
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or non-public APIs of the Speedy Inventory Software, except to the extent expressly permitted by applicable law and then only with prior written notice to Speedy Inventory
  • Modify, adapt, translate, or create derivative works of the Speedy Inventory Software
  • Remove, obscure, or alter any proprietary notices or labels
  • Interfere with or disrupt the operation, integrity, or performance of the Speedy Inventory Software
  • Transmit any viruses, malicious code, or illegal content through or to the Speedy Inventory Software
  • Publish or disclose benchmarks or performance information about the Speedy Inventory Software without prior written consent

6. Suspension and Termination

6.1 Suspension for Cause
Speedy Inventory may suspend Your access to the Speedy Inventory Software if You fail to pay any amounts due, or if Your use poses a security risk, may adversely impact other customers, or may subject Speedy Inventory to liability. Speedy Inventory will provide notice of suspension where practicable and will restore access once the issue is resolved.

6.2 Termination by Either Party
Either party may terminate this Agreement for material breach by the other party that remains uncured thirty (30) days after written notice describing the breach.

6.3 Effect of Termination
Upon expiry or termination of this Agreement for any reason, Your right to access and use the Speedy Inventory Software will immediately cease. No refunds or credits will be issued for any unused portion of the subscription term.

6.4 Post-Subscription Data Access
Upon cancellation or expiration of Your Subscription, Speedy Inventory will provide You with a limited, read-only viewing period of twelve (12) months during which You may log in to Your account solely to view Your existing data, records, inventory items, photos, and reports (“Viewing Period”). During the Viewing Period:

  • You may view and download inventory reports and associated photos through the inventory report feature
  • You may export Your data in CSV format
  • You may not create new jobs, add new inventory items, or use any active features of the Speedy Inventory Software
  • No additional job credits may be purchased or used

The Viewing Period begins on the day Your Subscription ends and expires automatically after twelve (12) months. Speedy Inventory strongly recommends that You export all data You wish to retain before the end of the Viewing Period. Once the Viewing Period expires, Your account and all associated data will be subject to deletion in accordance with Section 6.6.

6.5 Data Export
Prior to the end of Your Subscription, You may export Your Data from the Speedy Inventory Software. Data exports are available exclusively in comma-separated values (CSV) format. No other export formats (including but not limited to PDF, Excel, XML, or proprietary formats) are supported or available. Speedy Inventory is not responsible for any loss of data or functionality resulting from the limitations of the CSV export format.

Speedy Inventory does not provide data migration services, custom data exports, or assistance converting exported data into any other format, except as may be separately agreed in writing at additional cost.

6.6 Data Deletion
Following the expiration of the twelve (12) month Viewing Period described in Section 6.4, Speedy Inventory may permanently delete or anonymize Your Data without further notice and without any obligation to You. Speedy Inventory will have no liability for any data deleted following the expiration of the Viewing Period. It is Your responsibility to export all data You wish to retain before the Viewing Period ends. Speedy Inventory is not obligated to provide any data recovery services after deletion has occurred.

7. Ownership and Intellectual Property

7.1 Ownership of Software
Speedy Inventory and its licensors own all right, title, and interest in and to the Speedy Inventory Software and all related intellectual property rights. No rights or licenses are granted to You except as expressly set forth in this Agreement.

7.2 Your Data
As between the parties, You retain all right, title, and interest in and to Your Data. You grant Speedy Inventory a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display Your Data as reasonably necessary to provide the Speedy Inventory Software and related support.

7.3 Feedback
If You provide any feedback or suggestions regarding the Speedy Inventory Software, Speedy Inventory may use such feedback without restriction or obligation to You.

8. Confidentiality

8.1 Definition
“Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

8.2 Obligations
The receiving party will use the disclosing party’s Confidential Information only to perform its obligations or exercise its rights under this Agreement, and will not disclose it to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

8.3 Exclusions
Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, was lawfully known before disclosure, is received from a third party without breach of confidentiality, or is independently developed without reference to the disclosing party’s Confidential Information.

8.4 Compelled Disclosure
The receiving party may disclose Confidential Information if required by law, subpoena, or court order, provided it gives the disclosing party prompt notice where legally permitted and cooperates in any effort to seek confidential treatment.

9. Warranties and Disclaimers

9.1 “AS IS” Service
THE SPEEDY INVENTORY SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SPEEDY INVENTORY AND ITS LICENSORS, SUPPLIERS, AND CONTRACTORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Guarantee
SPEEDY INVENTORY DOES NOT WARRANT THAT THE SPEEDY INVENTORY SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE SPEEDY INVENTORY SOFTWARE IS SUITABLE FOR YOUR INTENDED USE.

10. Limitation of Liability

10.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY (NOR ITS LICENSORS, SUPPLIERS, OR CONTRACTORS) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SPEEDY INVENTORY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

10.3 Basis of the Bargain
The limitations in this Section 10 are fundamental elements of the basis of the bargain between the parties

11. Indemnification by You
You will defend, indemnify, and hold harmless Speedy Inventory and its officers, directors, employees, and agents from and against any claim, demand, suit, or proceeding made or brought by a third party arising out of or related to Your use of the Speedy Inventory Software in violation of this Agreement or applicable law, or any allegation that Your Data infringes or violates any third-party rights. You will pay all damages, costs, and reasonable attorneys’ fees finally awarded against Speedy Inventory in connection with any such claim.

12. Changes to These Terms
Speedy Inventory reserves the right to update or modify these Terms at any time. When changes are made, Speedy Inventory will notify You by email to the address associated with Your account and by posting the updated Terms on its website. The updated Terms will take effect thirty (30) days after notice is sent, unless a shorter period is required by law. Your continued use of the Speedy Inventory Software after the effective date of the updated Terms constitutes Your acceptance of the changes. If You do not agree to the updated Terms, You must cancel Your Subscription before the updated Terms take effect.

13. SMS and Text Messaging Consent
By providing Your mobile phone number to Speedy Inventory, You agree that Speedy Inventory may send text messages to that number for account-related and operational purposes. Message and data rates may apply. Message frequency may vary. You may opt out at any time by replying STOP to any message. For support, reply HELP or contact support@speedymovinginventory.com. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

14. Miscellaneous

14.1 Force Majeure
Neither party is liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, war, terrorism, riots, labor disputes, government actions, or internet or telecommunications failures.

14.2 Independent Contractors
The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or agency relationship.

14.3 Assignment
You may not assign or transfer this Agreement without Speedy Inventory’s prior written consent. Speedy Inventory may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.4 Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.5 Governing Law and Venue
This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the courts located in Toronto, Ontario.

14.6 Notices
All notices under this Agreement must be in writing and sent to the addresses set forth in the applicable Service Agreement or as otherwise specified by a party in writing.

14.7 Entire Agreement
This Agreement, together with any Service Agreements or order forms, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior or contemporaneous agreements, proposals, or representations concerning its subject matter.

14.8 Survival
Any provisions that by their nature should survive termination or expiration of this Agreement, including payment obligations, limitations of liability, confidentiality, and intellectual property provisions, will survive.
