Terms of Use and Subscription Agreement

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SPEEDY INVENTORY SOFTWARE. BY ACCESSING OR USING THE SPEEDY INVENTORY SOFTWARE, CREATING AN ACCOUNT, OR PURCHASING A SUBSCRIPTION, YOU AGREE TO BE BOUND BY THESE TERMS, TOGETHER WITH ANY APPLICABLE ORDER FORM OR SERVICE AGREEMENT (COLLECTIVELY, THE “AGREEMENT”). IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SPEEDY INVENTORY SOFTWARE.
If You enter into this Agreement on behalf of a company or other organization, You represent that You have authority to bind that organization. In that case, “You” and “Your” refer to that organization and its authorized users.
1. Definitions
1.1 Speedy Inventory Software
“Speedy Inventory Software” means the proprietary online software-as-a-service platform and related services provided by Speedy Inventory Inc. (“Speedy Inventory,” “we,” “us,” or “our”), including updates, upgrades, and enhancements.
1.2 Subscription
“Subscription” means Your right to access and use the Speedy Inventory Software during a specified monthly, yearly, or other subscription term under an order form, online purchase, or service agreement (each, a “Service Agreement”).
1.3 Your Data
“Your Data” means data, photos, content, records, and other materials submitted to or stored in the Speedy Inventory Software by You or Your authorized users.
1.4 Job Credits
“Job Credits” means the usage credits included with or purchased for Your selected plan. The number, price, and permitted use of Job Credits are described in the applicable Service Agreement or at the time of purchase.
2. Access to the Speedy Inventory Software
2.1 Grant of Access
Subject to timely payment of all applicable fees and compliance with this Agreement, Speedy Inventory grants You a limited, non-exclusive, non-transferable, and revocable right to access and use the Speedy Inventory Software during the applicable Subscription term solely for Your internal business purposes.
2.2 User Accounts
You are responsible for maintaining the confidentiality of account credentials and for all activity under Your account. You must promptly notify Speedy Inventory of suspected unauthorized access. You are responsible for ensuring that all users under Your account comply with this Agreement.
2.3 Multi-Location and Job Credit Use
A Subscription may be used across multiple locations or branches within Your organization unless the applicable plan states otherwise. Usage is governed by the Job Credits included in or purchased for Your plan. Each job processed through the Speedy Inventory Software consumes the number of Job Credits disclosed for that plan or transaction, regardless of location or number of users. You are responsible for monitoring Your remaining balance. Speedy Inventory is not responsible for interruptions caused by an insufficient Job Credit balance.
2.4 Equipment and Third-Party Services
You are responsible for obtaining and maintaining the devices, internet access, software, and third-party services needed to use the Speedy Inventory Software. Third-party products and services are governed by their own terms.
3. Subscription Plans, Fees, and Payment
3.1 Plans and Fees
Speedy Inventory offers monthly, yearly, single-job, and other plans or purchases as described in the applicable Service Agreement or at the time of purchase. You agree to pay all displayed or agreed fees. Fees are due in advance unless Speedy Inventory agrees otherwise in writing.
3.2 Taxes
Fees exclude applicable sales, use, value-added, and similar taxes. You are responsible for those taxes, except taxes based on Speedy Inventory’s net income.
3.3 Automatic Renewal
If You select an automatically renewing plan, Your monthly Subscription will renew each month and Your yearly Subscription will renew each year at the then-current applicable rate until You cancel. Before You subscribe, Speedy Inventory will disclose the renewal period, amount and frequency of charges, and available cancellation methods, and will obtain any consent required by applicable law.
For yearly automatically renewing Subscriptions, Speedy Inventory will send an advance renewal reminder that identifies the service, renewal date, amount and frequency of charges, and cancellation method. Speedy Inventory may also send other reminders when required by law.
3.4 Payment Processing
Payments may be processed by Chargebee or another third-party payment processor. By providing a payment method, You represent that You are authorized to use it and authorize the processor to charge all applicable fees and taxes. Speedy Inventory does not directly store complete payment-card information. Billing concerns should first be submitted to Speedy Inventory at info@speedyinventory.com.
3.5 Failed Payments
If a payment fails or becomes overdue, Speedy Inventory may retry the charge, suspend access, restrict features, or terminate the Subscription after providing any notice required by law. You remain responsible for amounts properly due.
3.6 Price and Material Changes
Speedy Inventory may change prices or other Subscription terms. Changes for existing subscribers will take effect no earlier than the next renewal term unless You affirmatively agree otherwise. Speedy Inventory will provide advance notice of a fee increase or other material change, together with cancellation instructions, within the time required by applicable law. Continued use after the effective date constitutes acceptance to the extent permitted by law. If You do not agree, You must cancel before the change takes effect.
4. Cancellation, Trials, and Refunds
4.1 Cancellation by You
You may cancel an automatically renewing Subscription at any time through the cancellation option in Your account, when available, or by emailing info@speedyinventory.com from the email address associated with Your account. If You subscribed online, You may cancel online without unnecessary delay or obstruction. Speedy Inventory may require reasonable authentication to protect Your account.
Cancellation stops future renewals and becomes effective at the end of the current paid billing period. Except where required by law or expressly stated in a signed written agreement, cancellation does not produce a refund or credit for the current billing period.
4.2 No Refunds
ALL FEES PAID FOR MONTHLY PLANS, YEARLY PLANS, SINGLE-JOB PURCHASES, JOB CREDITS, AUTOMATIC RENEWALS, SETUP, ONBOARDING, AND PROFESSIONAL SERVICES ARE FINAL AND NON-REFUNDABLE, EXCEPT WHERE REQUIRED BY LAW OR EXPRESSLY STATED IN A SIGNED WRITTEN AGREEMENT.
No refund or credit will be issued for partial use, unused Job Credits, non-use, dissatisfaction, plan downgrade, or early cancellation. Nothing in this section limits any non-waivable right available under applicable law.
4.3 Free Trials
Speedy Inventory may offer a free trial, including a trial limited by time, number of jobs, or both. The applicable trial limits will be disclosed at signup. Unless Speedy Inventory clearly discloses otherwise and obtains Your affirmative consent, a free trial will not automatically convert to a paid Subscription. If You authorize conversion or separately purchase a paid plan, the no-refund policy applies once the paid period begins and payment is processed.
4.4 Billing Disputes and Chargebacks
Please contact Speedy Inventory promptly at info@speedyinventory.com regarding a billing concern. By purchasing or renewing, You acknowledge this cancellation and refund policy. You agree not to initiate a chargeback based solely on non-use, dissatisfaction, or early cancellation when the charge was authorized and correctly processed, except where applicable law provides otherwise.
5. Acceptable Use and Restrictions
5.1 Permitted Use
You may use the Speedy Inventory Software only for lawful internal business purposes and in accordance with this Agreement.
5.2 Uploaded Content
You are solely responsible for Your Data. You represent that You have all rights and permissions needed to upload and use it; that it does not violate law or third-party rights; and that, where photos or records identify individuals, You have obtained all notices and consents required by privacy and data-protection laws. You may not upload unlawful, harmful, obscene, infringing, or malicious content. Speedy Inventory may remove content that violates this Agreement.
5.3 Inventory Reports and Photos
During an active Subscription, authorized users may view and download inventory reports and associated photos through available platform features. After cancellation or expiration, access is governed by the twelve-month read-only Viewing Period in Section 6.4. You are responsible for exporting and retaining any information You need before that period ends.
5.4 Eligibility
The Speedy Inventory Software is intended for businesses and users who are at least 18 years old and legally capable of entering into this Agreement. Speedy Inventory may suspend or terminate an account reasonably believed to be operated by a person under 18.
5.5 Beta Features
Features identified as beta, preview, pilot, or early access are provided “as is” and “as available,” without a service-level commitment or support obligation. Speedy Inventory may modify, suspend, or discontinue them at any time. Your use of Beta Features is at Your own risk.
5.6 Restrictions
You and Your users may not:
- Sublicense, resell, lease, or provide the Speedy Inventory Software to a third party except as expressly authorized in writing;
- Use the Speedy Inventory Software as a service bureau or to provide unauthorized hosted services;
- Circumvent usage limits or disable or interfere with security features;
- Reverse engineer, decompile, disassemble, or attempt to derive source code or non-public APIs, except to the limited extent applicable law expressly permits;
- Modify, translate, or create derivative works of the Speedy Inventory Software;
- Remove or alter proprietary notices;
- Disrupt the integrity, security, availability, or performance of the Speedy Inventory Software;
- Transmit malware, illegal content, or code intended to harm systems or data; or
- Publish non-public benchmark or performance results without Speedy Inventory’s prior written consent.
6. Suspension, Termination, and Data Access
6.1 Suspension
Speedy Inventory may suspend access for overdue amounts, violation of this Agreement, suspected fraud, security risk, unlawful activity, or use that may harm the service, other customers, or Speedy Inventory. Where practicable, Speedy Inventory will provide notice and a reasonable opportunity to resolve the issue.
6.2 Termination for Cause
Either party may terminate this Agreement for a material breach that remains uncured thirty (30) days after written notice. Speedy Inventory may terminate immediately for unlawful conduct, fraud, a material security threat, or a breach that cannot reasonably be cured.
6.3 Effect of Termination
When the paid Subscription ends, Your right to create jobs, add inventory, use Job Credits, and access active features ends. No refund or credit will be provided for any unused portion of the term except where required by law. Eligible existing data remains available only as described in Section 6.4.
6.4 Twelve-Month Read-Only Viewing Period
After cancellation or expiration, Speedy Inventory will provide a limited read-only period of twelve (12) months (the “Viewing Period”), during which You may log in solely to view existing records, inventory items, photos, and reports and use the export features then available. During the Viewing Period:
- You may view and download inventory reports and associated photos through available report features;
- You may export Your Data in CSV format where that export is available;
- You may not create new jobs, add inventory items, edit existing data, or use active Subscription features; and
- You may not purchase or use additional Job Credits through the inactive account unless You reactivate or purchase an eligible plan.
The Viewing Period begins when the paid Subscription ends. You should export all data You wish to retain before it expires.
6.5 Data Export
Standard structured-data exports are available only in CSV format unless Speedy Inventory expressly offers another format. Reports and associated photos may be downloaded through the platform features made available for that purpose. Speedy Inventory does not promise custom exports, data migration, or conversion services unless separately agreed in writing, potentially for an additional fee.
6.6 Data Deletion
After the Viewing Period expires, Speedy Inventory may permanently delete or anonymize Your Data without further notice, subject to applicable law and legitimate backup, security, fraud-prevention, and recordkeeping requirements. Speedy Inventory has no obligation to recover data after deletion. You are responsible for exporting information You need before the Viewing Period ends.
7. Ownership and Intellectual Property
7.1 Speedy Inventory Property
Speedy Inventory and its licensors own all right, title, and interest in the Speedy Inventory Software, documentation, design, technology, and related intellectual property. No right is granted except the limited access right expressly stated in this Agreement.
7.2 Your Data
As between the parties, You retain ownership of Your Data. You grant Speedy Inventory a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and otherwise use Your Data only as reasonably necessary to provide, secure, maintain, and support the Speedy Inventory Software; comply with law; and enforce this Agreement.
7.3 Feedback
If You provide suggestions or feedback, Speedy Inventory may use them without restriction or payment, provided this does not grant Speedy Inventory ownership of Your Data.
8. Confidentiality
8.1 Confidential Information
“Confidential Information” means non-public information disclosed by one party to the other that is identified as confidential or should reasonably be understood to be confidential given its nature and the circumstances of disclosure.
8.2 Obligations and Exclusions
The receiving party will use Confidential Information only to perform this Agreement and will protect it with reasonable care. Disclosure is permitted only to personnel, contractors, and professional advisers who need to know it and are bound by appropriate confidentiality duties. Confidential Information excludes information that becomes public without breach, was lawfully known without restriction, is received lawfully from another source, or is independently developed without use of the other party’s Confidential Information.
8.3 Required Disclosure
A receiving party may disclose Confidential Information when required by law, subpoena, or court order. Where legally permitted, it will provide prompt notice and reasonable cooperation regarding protective treatment.
9. Security and Privacy
Speedy Inventory will use reasonable administrative, technical, and organizational measures designed to protect the Speedy Inventory Software and Your Data. No online service is completely secure, and Speedy Inventory does not guarantee that unauthorized access, loss, or disruption will never occur. Speedy Inventory’s Privacy Policy, available on its website, explains how personal information is handled and is incorporated into this Agreement to the extent applicable.
10. Warranties and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SPEEDY INVENTORY SOFTWARE, BETA FEATURES, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SPEEDY INVENTORY AND ITS LICENSORS, SUPPLIERS, AND CONTRACTORS DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SPEEDY INVENTORY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY OPERATIONAL, REGULATORY, INSURANCE, OR EVIDENTIARY PURPOSE. YOU ARE RESPONSIBLE FOR DETERMINING WHETHER IT MEETS YOUR REQUIREMENTS AND FOR MAINTAINING APPROPRIATE BUSINESS PROCEDURES AND COPIES OF IMPORTANT RECORDS.
11. Limitation of Liability
11.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY, NOR ITS LICENSORS, SUPPLIERS, OR CONTRACTORS, WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
11.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO SPEEDY INVENTORY DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY.
11.3 Exceptions and Basis of Bargain
The limitations in this Section do not apply to liability that cannot lawfully be limited or excluded. These limitations are fundamental elements of the agreement between the parties.
12. Indemnification by You
You will defend, indemnify, and hold harmless Speedy Inventory and its officers, directors, employees, contractors, and agents from third-party claims, demands, actions, damages, costs, and reasonable attorneys’ fees arising from: (a) Your Data; (b) Your or Your users’ violation of this Agreement or applicable law; (c) Your inventory, moving, storage, delivery, or other business services; or (d) allegations that Your Data infringes or violates a third party’s rights. Speedy Inventory will provide reasonable notice of a covered claim and may participate through counsel of its choice.
13. Changes to These Terms
Speedy Inventory may update these Terms. For material changes, Speedy Inventory will provide notice by email, through the Software, or by another reasonable method and will state the effective date. Changes will not apply retroactively unless required by law. If You do not agree to a material change, You must cancel before it takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.
14. SMS and Text Messaging
If You provide a mobile number and consent to receive text messages, Speedy Inventory may send account-related, operational, support, or other messages within the scope of Your consent. Message frequency varies, and message and data rates may apply. Reply STOP to opt out and HELP for assistance, or contact info@speedyinventory.com. Consent to marketing texts is not a condition of purchasing the Speedy Inventory Software. Mobile opt-in data and consent will not be shared with third parties or affiliates for their marketing or promotional purposes, except service providers that help deliver messages and are required to protect the information.
15. Miscellaneous
15.1 Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government action, utility failures, internet or telecommunications failures, or widespread cyberattacks, except that this provision does not excuse payment obligations already due.
15.2 Independent Contractors
The parties are independent contractors. This Agreement does not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship.
15.3 Assignment
You may not assign this Agreement without Speedy Inventory’s prior written consent. Speedy Inventory may assign it in connection with a merger, reorganization, financing, acquisition, or sale of all or substantially all of its business or assets. Any prohibited assignment is void.
15.4 Severability and Waiver
If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver.
15.5 Governing Law and Venue
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any non-waivable right under applicable law, the state and federal courts located in San Diego County, California, will have exclusive jurisdiction and venue over disputes arising from or relating to this Agreement, and each party consents to those courts.
15.6 Notices
Notices to You may be sent to the email address associated with Your account or delivered through the Speedy Inventory Software. Legal notices to Speedy Inventory must be sent to info@speedyinventory.com with the subject line “Legal Notice,” unless a Service Agreement provides another address. Email notices are effective when sent, unless the sender receives a delivery-failure notice.
15.7 Entire Agreement and Order of Precedence
This Agreement is the entire agreement regarding its subject matter and supersedes prior or contemporaneous proposals and representations. If a signed Service Agreement expressly conflicts with these Terms, the signed Service Agreement controls for that conflict. Purchase-order terms do not modify this Agreement unless Speedy Inventory expressly agrees in writing.
15.8 Survival
Provisions that by their nature should survive termination will survive, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, indemnification, data deletion, governing law, and venue.
